Terms of Service
These terms govern your use of this website and any e-commerce operations or consulting services we provide.
1. Acceptance of these terms
These Terms of Service (“Terms”) form a binding agreement between you and Horizon Management Solutions LLC, doing business as Horizon Management Pro (“Horizon,” “we,” “us,” or “our”). By accessing this website, submitting an application, booking a call, or engaging our services, you agree to these Terms and to our Privacy Policy.
If you do not agree, do not use the website or our services. If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have authority to bind that entity.
2. Who we are
Horizon Management Pro is the operating brand of Horizon Management Solutions LLC, a member-managed Montana limited liability company. Our principal office is 1001 S Main St, Ste 600, Kalispell, MT 59901-1498. We provide e-commerce operations, marketplace management, and related consulting services.
3. Eligibility
You must be at least 18 years old and legally able to enter into contracts to use our services. You agree to provide accurate, current, and complete information in any application or communication, and to keep that information up to date. We may decline or withdraw an application at our discretion, including where information is inaccurate, incomplete, or suggests a risk of fraud or policy violation.
4. Our services
Subject to a separate written agreement or statement of work, our services may include marketplace account setup support, product sourcing and vetting, supplier coordination, listing creation, inventory planning, fulfillment coordination, advertising support, customer-service workflows, and performance reporting. The specific scope, deliverables, timelines, and fees for any engagement are set out in the applicable agreement or proposal.
We provide operational services and consulting. We are not a marketplace, a bank, a broker-dealer, an investment adviser, or a fiduciary. We do not hold, custody, or control your marketplace account, your funds, or your inventory unless a separate agreement expressly says otherwise.
Website content, dashboards, examples, and case studies are provided for general information. They are not a promise that any particular service, tactic, or product will be available or suitable for you.
5. No income or performance guarantee
We do not guarantee any level of sales, revenue, profit, return on capital, ranking, impressions, or account performance. E-commerce results depend on many factors outside our control, including product demand, competition, pricing, marketplace policies and algorithms, advertising costs, supply-chain conditions, seasons, consumer behavior, and the capital you commit.
Any figures, screenshots, dashboards, timelines, testimonials, or examples shown on this website or in our materials are illustrative only. They are not typical results, not an average, and not a projection of your outcome. Past or example performance does not predict future results. You should evaluate the risks independently and, where appropriate, consult your own legal, tax, and financial advisors.
6. Your responsibilities
You agree to:
- Provide accurate and timely information, approvals, documentation, and access needed for us to perform.
- Maintain ownership and control of your entity, marketplace accounts, bank accounts, and payment credentials, except where a separate written authorization provides otherwise.
- Ensure that products, brands, listings, claims, and marketing materials you supply comply with applicable law and marketplace policy.
- Fund inventory, advertising, fees, and other costs you authorize in a timely manner.
- Review reports, account notices, and policy communications and respond promptly.
- Comply with all applicable laws, including consumer-protection, intellectual-property, tax, and marketplace rules.
- Not use our services to sell prohibited, counterfeit, unsafe, restricted, or infringing products, or to engage in deceptive or unlawful conduct.
You are responsible for decisions you make about your business, including which products to launch and how much capital to commit.
7. Fees and payment
Fees, billing frequency, and payment terms are described in your applicable agreement or proposal. Unless stated otherwise, fees are due as invoiced and are exclusive of taxes. Late or failed payments may result in suspension of services, and you remain responsible for amounts already incurred.
Except where required by law or expressly stated in a written agreement, fees are non-refundable once work has begun, including amounts paid for onboarding, setup, sourcing, or services already performed. Third-party costs, such as marketplace fees, advertising spend, shipping, software, and supplier payments, are your responsibility unless expressly included.
8. Inventory, capital, and risk
Unless a separate written agreement says otherwise, you purchase and own the inventory associated with your store, and you bear the risk of loss, damage, obsolescence, slow-moving stock, returns, and marketplace reimbursements. We may recommend products, suppliers, quantities, and pricing, but recommendations are not guarantees of demand or profitability.
You authorize us to coordinate purchases, logistics, and related activities only to the extent described in your agreement. You should maintain adequate reserves and should not commit capital you cannot afford to have tied up in inventory.
9. Marketplace compliance
Marketplace accounts are governed by the terms and policies of the applicable platform, not by us. You are responsible for complying with those policies and for any action a marketplace takes, including warnings, listing removals, suspensions, fund holds, or account closure. We do not control and cannot override marketplace decisions.
We may suspend or end services if continuing would require us to violate a marketplace policy or applicable law, or if your account or conduct creates a material risk to us, our partners, or third parties.
10. Intellectual property
This website and its content — including text, design, graphics, logos, and code — are owned by or licensed to Horizon and are protected by intellectual-property laws. You may view and use the site for legitimate business purposes. You may not copy, scrape, republish, or create derivative works from our content without written permission.
You retain ownership of your own trademarks, product content, images, and data. You grant us a limited license to use materials you provide as needed to perform the services. Deliverables created specifically for you under a written agreement are owned as that agreement specifies; absent such terms, we retain ownership of our methods, templates, know-how, and pre-existing materials.
11. Confidentiality
Each party may receive confidential information from the other, such as business plans, supplier terms, pricing, customer data, and account information. The receiving party will use that information only to perform under the agreement, will protect it with reasonable care, and will not disclose it to third parties except to employees, contractors, and advisors who need to know and are bound by confidentiality obligations, or as required by law.
Confidentiality obligations do not apply to information that is public through no breach, independently developed, or rightfully received from a third party without restriction.
12. Disclaimers
THE WEBSITE AND SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, TO THE MAXIMUM EXTENT PERMITTED BY LAW.
We do not warrant that the website will be uninterrupted, error-free, or secure, or that any information on it is complete, accurate, or current. We do not warrant any marketplace, supplier, carrier, or other third-party service. Some jurisdictions do not allow certain disclaimers, so parts of this section may not apply to you.
13. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, HORIZON AND ITS MEMBERS, MANAGERS, EMPLOYEES, CONTRACTORS, AND AGENTS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST SALES, LOST INVENTORY VALUE, LOST DATA, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATED TO THE WEBSITE OR SERVICES, EVEN IF ADVISED OF THE POSSIBILITY.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICES WILL NOT EXCEED THE FEES YOU PAID TO US FOR THE SERVICES GIVING RISE TO THE CLAIM DURING THE THREE (3) MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY. THIS LIMITATION DOES NOT APPLY TO FRAUD, WILLFUL MISCONDUCT, OR LIABILITY THAT CANNOT BE LIMITED BY LAW.
14. Indemnification
You agree to indemnify, defend, and hold harmless Horizon and its members, managers, employees, contractors, and agents from claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to: your products, listings, content, or business operations; your breach of these Terms or an applicable agreement; your violation of law or marketplace policy; or your infringement of third-party rights. We may assume the defense of any matter subject to indemnification, and you will cooperate reasonably.
15. Third-party platforms and links
Our website and services may reference or integrate with third-party platforms, tools, and websites, including Amazon, Shopify, Walmart, and TikTok. Those services are governed by their own terms and privacy policies. References do not imply affiliation, endorsement, or sponsorship. We are not responsible for third-party content, availability, fees, or actions, and you use those services at your own risk.
16. Term, suspension, and termination
These Terms apply while you use the website or services. Either party may terminate a service engagement as provided in the applicable agreement. We may suspend or terminate access to the website or services immediately if you breach these Terms, fail to pay amounts due, violate law or marketplace policy, or create risk to us or others.
On termination, you remain responsible for fees incurred and obligations that by their nature survive, including payment, confidentiality, intellectual property, disclaimers, limitation of liability, indemnification, and governing-law provisions. We will cooperate reasonably to transition accounts, access, and information that belong to you, subject to payment of outstanding amounts.
17. Governing law and dispute resolution
These Terms and any dispute arising out of or relating to them or the services are governed by the laws of the State of Montana, without regard to conflict-of-laws principles. Subject to any mandatory arbitration provision in a signed agreement, the exclusive venue for any action will be the state or federal courts located in Flathead County, Montana, and each party consents to personal jurisdiction there.
Before filing a claim, the parties will try in good faith to resolve the dispute through written notice and at least 30 days of discussion. Nothing in this section prevents either party from seeking injunctive or other equitable relief to protect its rights.
18. Changes to these terms
We may update these Terms from time to time. When we do, we will revise the effective date above. Material changes may be communicated on the website or by email. Continued use of the website or services after an update means you accept the revised Terms. If you do not agree, you should stop using the website and services.
19. General
These Terms, together with the Privacy Policy and any signed agreement or statement of work, are the entire agreement between you and Horizon regarding their subject matter and supersede prior discussions. If any provision is found unenforceable, the remaining provisions stay in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our written consent; we may assign them in connection with a merger, acquisition, or sale of assets. Nothing in these Terms creates a partnership, joint venture, agency, or employment relationship beyond what is expressly stated.
